Rena International VIC Members Policies and Regulations
Rena International Corporation, headquartered at 55 E Huntington Dr. Unit 277, Arcadia, CA 91006, is a U.S.-based company specializing in the research, development, production, and sales of cosmetics. To regulate the sales activities of VIC Members of Rena International Corporation (hereinafter referred to as "the Company" or "Rena"), these VIC Members Policies and Regulations are established in accordance with legal requirements and the Company's specific circumstances. All VIC Members are required to operate legally, act with integrity, and comply with these Policies and Regulations as well as related systems.
Chapter 1: Major Policies and Regulations
- Intellectual Property: VIC Members must understand the intellectual property rights of the Rena brand, including trademarks, patents, and copyrights. Rena may provide copies of certificates or authorization statements as needed for sales purposes, but VIC Members are not authorized to grant permission or license to others.
- Intellectual Property Protection: Rena takes all measures to protect its intellectual property from infringement. VIC Members must protect Rena's brand name, including registered and unregistered trademarks, packaging designs, patents, and other intellectual property. Any infringement clues should be reported to Rena immediately for joint protection efforts.
- Product Labeling and Packaging: Products and packaging sold by VIC Members must meet Rena's external sales standards, including accurate and clear information on ingredient lists, usage methods, and expiration dates. VIC Members are not allowed to alter expiration dates or instructions.
- Brand Promotion and Marketing Materials: Rena provides brand promotion and marketing materials to VIC Members and updates them as necessary. VIC Members should use these materials legally and reasonably without unauthorized modifications.
- No Exaggeration in Promotion: VIC Members must adhere to Rena's unified marketing standards, avoiding exaggeration of product efficacy or misleading consumers. Any negative consequences resulting from such actions are the sole responsibility of the VIC Members, and Rena reserves the right to seek compensation for economic and reputational damages.
- No Counterfeiting or Fraud: VIC Members must comply with Rena's product quality and authenticity regulations, refraining from producing, selling counterfeit products, or engaging in fraudulent sales practices.
- Channel Management: All products must be purchased and sold through Rena's website or showrooms to ensure product quality and brand image. VIC Members cannot purchase products from unauthorized channels for resale.
- Tax Regulations: VIC Members must handle their own tax matters, which may include sales tax, income tax, and other tax-related issues. They must understand and comply with relevant tax regulations to ensure legal business operations.
Chapter 2: Rights of VIC Members
- Selling Products: VIC Members have the right to legally sell products at or above Rena's specified retail prices.
- Training and Support: VIC Members are entitled to receive reasonable training and support from Rena to improve their efficiency and professionalism.
- VIC Member Promotion: VIC Members have the right to be promoted according to Rena's promotion system, enjoying corresponding sales policies or rewards if they meet the criteria.
Chapter 3: Obligations of VIC Members
- Real-name Registration: Consumer Members must provide their real and valid email address, name, identification information, or business qualification proof. Members in the U.S. must submit their correct Social Security Number (SSN). Business entities must provide their correct Taxpayer Identification Number (TIN), such as the Employer Identification Number (EIN). Each VIC Member can register up to three VIC accounts using their own information, and each account must be associated with a unique and distinct email address. The same email address may not be used for multiple VIC account registrations. The company reserves the right to reject such registrations or take other necessary measures as deemed appropriate. If errors or inaccuracies in the information provided result in bonuses not being issued, the company is not responsible. Additionally, each name changes or account transfer requires a $100 handling fee.
- No Cross-territory Selling: All Rena products come with unique anti-counterfeiting codes. VIC Members must purchase products directly from Rena and sell them only within the authorized scope to protect their own and others' interests. Cross-territory selling is strictly prohibited.
- No Undercutting Prices: VIC Members must sell products at the market retail price specified by Rena. Discounted or underpriced sales are not allowed.
- No Unfair Competition: VIC Members must not engage in false or misleading advertising, poach other members' customers, or interfere with negotiations between other members and potential VIC Members. They cannot claim another member's prospective recruit as their own.
- No Hoarding: VIC Members must not hoard products to meet performance targets or qualify for promotions or rewards.
- Protect Consumer Privacy: VIC Members must protect consumer privacy and cannot collect or misuse consumer personal information.
- After-sales Service: VIC Members must promptly report after-sales service issues and consumer feedback to Rena.
- Legal Tax Compliance: VIC Members must not evade taxes and must pay taxes in accordance with legal requirements.
- No Unauthorized Use of Rena's Intellectual Property: VIC Members cannot register or use names or trademarks similar to Rena's company name or brand, nor use designs similar to Rena's packaging or appearance.
- Integrity and Honesty: VIC Members must not exploit loopholes in the management system to seek improper benefits that affect Rena's reputation or interests; otherwise, they will be dealt with according to Chapter 7.
Chapter 4: Company Responsibilities and Obligations
- Ensure Quality and Develop New Products: Rena must ensure product quality and continuously update and develop new products, enhancing brand awareness and corporate influence.
- Product Introduction and Training: Rena will provide detailed product introductions and training to VIC Members, enabling them to accurately convey product information and provide professional advice to consumers.
- Encourage New VIC Members: Rena will develop plans and policies to attract new VIC Members, including initial order discounts and training allowances, encouraging active participation in sales activities.
- Meetings and Events: The company may organize regular meetings and events to familiarize new VIC Members with company culture, sales strategies, and product knowledge, enhancing their sense of belonging and motivation.
Chapter 5: Cooperation with Rena Headquarters
- Information Communication: Rena will promptly communicate the latest policies, product information, and market trends to VIC Members to better cooperate with headquarters.
- Feedback: VIC Members must work according to Rena's sales policies and requirements, promptly report any questions or suggestions to headquarters, and accept guidance and management from headquarters.
Chapter 6: Conduct Among VIC Members
- Confidentiality: VIC Members must not privately discuss Rena's sales information, customer information, or other confidential information to avoid unnecessary disputes or leaks of Rena's trade secrets.
- Maintain Rena's Image: VIC Members must not engage in any behavior that could harm Rena's interests, including maliciously defaming the company or spreading false information.
Chapter 7: Consequences of Violating This Policy
- Termination of Authorization: Rena reserves the right to unilaterally terminate sales authorization and reclaim copies of certificates or authorization statements.
- Recovery of Rewards: Rena has the right to recover issued rewards.
- Liability for Breach or Infringement: Rena reserves the right to hold VIC Members liable for breach of contract or infringement.
This VIC Members Policies and Regulations is effective from July 1, 2024.
